Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of this website (bizzbots.in), our account website (app.bizzbots.in) and the Minto desktop application ("Minto"), provided by Harshiv Techworks Private Limited (CIN U72900TN2020PTC134406; registered office: Old No. 270, New No. 351, M.K.N. Road, Alandur, Chennai 600016, Tamil Nadu, India), trading as Bizzbots ("Bizzbots", "we", "us"). By creating an account, placing an order or using Minto you agree to these Terms and to our Privacy Policy.

2. Your account

• You must be at least 18 and act for a genuine, operating business.
• The details you give us, including your business and tax details, must be accurate; they appear on your invoices.
• You are responsible for your password, your licence key and everything done with them. Tell us at once if you suspect misuse.

3. What we provide

A licence to use Minto on as many of your computers as you like for one set of books; the setup of Minto's database in your own Google project; and updates to Minto as your plan allows. The base pack — contacts, organisations, staff and terminals — is included with every plan. Features and modules not yet released are not part of any purchase until they are released.

4. Plans and prices

Jewel Loan is offered on three plans. The prices shown at checkout apply to your order.

• Subscription: a one-time setup fee, then a monthly fee paid in advance for 1 to 12 months at a time. Nothing renews by itself; you add months from your account.
• Licence with AMC: a one-time licence fee, with no setup fee, which includes the annual maintenance charge (AMC) for the first year. From the second year, the AMC is due at the start of each year and covers every update released in stable versions, and feature requests while it is paid. An AMC year runs from anniversary to anniversary of your purchase.
• Lifetime: a one-time licence fee, with no setup fee, for full use of Minto for life; early (pilot) versions as they are released; and updates, support and feature building for seven years from purchase. After seven years Minto keeps working fully at the version you have. After that, Minto keeps working at the version you have.

Prices exclude GST. GST is charged when the seller who invoices your order is registered under GST, at the rate in force.

5. Payment

You may pay by bank transfer, UPI or cash to the account shown for your order, and then tell us on the payment page. Your order is fulfilled — licence key, invoice and access — once we have confirmed the payment. All payments are non-refundable, including for any unused part of a subscription or AMC year.

6. When a subscription or AMC lapses

• Subscription: if it is not renewed, Minto continues for a grace period of 3 days, then becomes read-only for 7 days — your records stay visible, but no new entries can be made — and then cannot be opened at all until you pay. Your records remain safe throughout.
• Licence with AMC: if the AMC is not renewed, Minto continues for a grace period of 30 days and then becomes read-only: your records stay visible, but no new entries can be made until the AMC is renewed.

7. Your Google project and your data

Your Minto database lives in a Google Firebase project that you create and own. Google's charges for that project, if any, are between you and Google. You grant our service account the roles shown during activation so that we can set up and update the database; removing them stops that help. Your records in Minto are yours: you are responsible for them, for backups beyond those we switch on for you, and for complying with the laws that apply to your lending business, including KYC, privacy and record-keeping requirements.

8. Feature requests

On the Licence with AMC plan (while the AMC is paid) and the Lifetime plan (for its seven years of support), you may ask for features for your business. Where we agree a request is reasonable and within Minto's scope, we will deliver it within 30 days (Licence with AMC) or 7 days (Lifetime) of agreeing it. The Subscription plan does not include feature requests. [Scope and exclusions to be finalised with counsel.]

9. What you may not do

• Share, sell or publish your licence key, or use one licence for more than one set of books
• Copy, modify, reverse-engineer or resell Minto, except as the law allows despite this restriction
• Use Minto or our websites for anything unlawful, or try to disrupt or gain unauthorised access to them

10. Intellectual property

Minto, our websites and the Bizzbots and Minto names belong to us or our licensors. Your plan gives you a licence to use Minto, not ownership of it.

11. Suspension and termination

We may suspend or end your account or licence if you break these Terms, if a payment is reversed, or if the law requires it. You may stop using our services at any time. Sections 5, 7, 12 and 13 survive the end of your account.

12. Disclaimers and limitation of liability

Minto and our websites are provided "as is". You remain responsible for checking the figures, documents and decisions of your business. To the maximum extent permitted by law, Bizzbots is not liable for indirect, incidental or consequential loss, or for loss of profit or data, and our total liability for any claim is limited to the amount you paid us in the twelve months before it.

13. Indemnity

You agree to indemnify Bizzbots against claims arising from your use of Minto, the records you keep in it, or your breach of these Terms or of the law.

14. Governing law

These Terms are governed by the laws of India, and the courts at Chennai have exclusive jurisdiction. [Confirm arbitration clause requirements with counsel.]

15. Changes to these Terms

We may update these Terms. We will post the new version here with its date and, for material changes, tell you by email or on your account page. Each order is governed by the Terms accepted when it was placed.
